Tech Help Canada Terms of Service

Effective date: September 17, 2026

These Terms of Service are an agreement between you and Tech Help Canada Limited, operating as Tech Help Canada (“Tech Help Canada,” “we,” “us,” or “our”).

These Terms apply when you access or use our websites, subdomains, accounts, memberships, tools, directories, job board, content, digital products, software features, AI-assisted tools, reports, forms, subscriptions, publication services, editorial services, consulting services, and related services. This includes techhelp.ca and any subdomain or related site where these Terms are posted or linked, unless a separate agreement applies.

These Terms replace the prior Terms and Conditions previously hosted through iubenda.

Please read these Terms carefully. By accessing or using our services, creating an account, submitting content, purchasing a product or service, joining a membership, using an AI tool, submitting a directory listing, posting a job, buying a publication or placement service, or otherwise interacting with our services, you agree to these Terms.

If you do not agree, do not use our services.

2. Services Covered

Our services may include:

  • Business, marketing, technology, SEO, AI, and small-business content.
  • Free and paid tools, including website analysis tools, content tools, AI tools, and productivity tools.
  • HelperX Bot, CopyHub, Website Health Report, and future tools we make available.
  • Accounts, memberships, subscriptions, saved work, and member-only features.
  • Business directory features, including listings, claimed listings, reviews, promoted listings, and related services.
  • Job board features, including job listings, application links, employer submissions, and related services.
  • Publication services, submitted content, editorial services, placement services, and promotional opportunities.
  • Consulting, copywriting, SEO, AI consulting, website, and related services.
  • Hosting, domain, or website services that may be offered directly or through third-party platforms.
  • APIs, integrations, downloadable files, software features, scripts, reports, templates, and documentation.

Some services may have additional terms, checkout terms, plan descriptions, order forms, statements of work, service agreements, platform rules, or third-party terms. If there is a conflict, the more specific terms apply to the relevant service.

3. Eligibility and Authority

You may use our services only if you can legally enter into a binding agreement.

If you use our services for a company, organization, client, employer, or other entity, you confirm that you have authority to bind that entity to these Terms. In that case, “you” includes both you and that entity.

You must not use our services if you are prohibited from doing so under applicable law.

4. Accounts

Some services require an account. You agree to provide accurate, complete, and current information and to keep it updated.

You are responsible for:

  • Keeping your login credentials secure.
  • All activity under your account.
  • Making sure anyone who uses your account follows these Terms.
  • Notifying us promptly if you believe your account has been compromised.

You must not share, sell, transfer, sublicense, or resell account access unless we expressly allow it in writing or through a plan that permits team, agency, or client use.

We may refuse, suspend, restrict, or terminate accounts that we believe violate these Terms, create risk, misuse our services, or harm Tech Help Canada, our users, our systems, or third parties.

Cancelling a membership, subscription, or paid service does not automatically delete your account, invoices, transaction history, service records, public submissions, or records we need for legal, tax, accounting, security, fraud-prevention, dispute, or compliance purposes. If you want to request account deletion or access to personal information, contact us at info@techhelp.ca. We will handle requests in accordance with our Privacy Policy and applicable law.

5. Memberships, Subscriptions, Billing, and Renewals

Some products and services are free. Others require payment.

Prices, features, limits, billing intervals, renewal terms, taxes, and available payment methods are shown during checkout, on the relevant product page, in an order form, or in another service-specific agreement.

We may use third-party payment processors, including PayPal, Stripe, Square, and other providers we identify at checkout. Payment processors handle payment information under their own terms and privacy policies.

Unless stated otherwise at checkout or in a separate agreement:

  • Subscription fees are charged in advance.
  • Subscription plans may renew automatically until cancelled.
  • You authorize us and our payment processors to charge the payment method you provide for recurring fees, taxes, and applicable charges.
  • You are responsible for keeping your payment information current.
  • If payment fails, we may suspend or limit access until payment is received.
  • Cancelling a subscription stops future renewals but does not automatically refund amounts already paid.
  • If you cancel, your access may continue until the end of the current paid period unless the service description says otherwise.

We may change plan features, pricing, limits, or billing terms. If a change materially affects an active paid subscription, we will provide notice as required by applicable law or as described in the service-specific terms.

6. Refunds and Cancellations

All payments are final unless we expressly agree otherwise in writing or applicable law requires otherwise.

To the maximum extent permitted by law, we do not provide refunds for services rendered, work performed, digital access provided, publication or review work begun, consulting time, account or membership access already provided, or any other service that has begun.

If a product page, checkout page, invoice, order form, statement of work, or written agreement gives more specific cancellation or refund terms, those terms apply to that purchase.

This does not limit any non-waivable consumer rights that apply to you. If applicable law gives you a cancellation, cooling-off, withdrawal, chargeback, refund, or other mandatory right, that right applies despite anything in these Terms.

7. Taxes

Prices may be shown before or after taxes depending on the product, checkout system, region, or platform. You are responsible for applicable taxes, duties, and similar charges unless we state otherwise.

8. Free Tools, Paid Tools, and Usage Limits

We may offer free tools, paid tools, trial features, member limits, usage allowances, credits, or “unlimited” plans.

Unless we expressly say otherwise, “unlimited” does not mean unrestricted, abusive, automated, or commercially unreasonable use. We may apply fair-use, security, anti-abuse, technical, rate, storage, or operational limits to protect our services and other users.

We may throttle, restrict, suspend, or terminate access if usage:

  • Interferes with service availability.
  • Attempts to bypass limits.
  • Uses automation, scraping, bots, or bulk requests without permission.
  • Creates unusual cost, security, legal, operational, or reputational risk.
  • Is inconsistent with the purpose of the plan or service.

9. AI Tools and Generated Output

Our services may include AI-assisted tools, chatbots, content generators, research aids, website analysis tools, image or document tools, automation features, and related functionality. These may include HelperX Bot, CopyHub, Website Health Report, and future tools.

AI output may be inaccurate, incomplete, outdated, biased, offensive, unsuitable, non-unique, or not appropriate for your specific situation. You are responsible for reviewing, verifying, editing, and deciding whether to use any output.

Our AI tools are not a substitute for professional advice. Do not rely on them as legal, financial, tax, medical, mental health, security, engineering, accounting, investment, employment, immigration, or other qualified professional advice.

You are responsible for:

  • The prompts, files, URLs, instructions, data, images, documents, and other materials you submit.
  • Having the rights and permissions needed to submit those materials.
  • Reviewing output before using, publishing, sending, selling, or relying on it.
  • Complying with laws, platform rules, intellectual property rights, privacy rights, and third-party rights.
  • Decisions, actions, claims, campaigns, publications, or business outcomes based on output.

AI output may not be exclusive to you. Similar or identical output may be produced for other users. We do not guarantee that output is copyrightable, registrable, protectable, accurate, non-infringing, original, or fit for your purpose.

You must not submit confidential, regulated, highly sensitive, privileged, or third-party personal information to our AI tools unless the relevant tool clearly says it is designed for that use and you have all necessary rights and consents.

Our AI tools may rely on third-party model providers, hosting providers, search providers, image providers, analytics providers, security providers, and infrastructure services. Your use of AI tools is also subject to our Privacy Policy.

We do not currently use customer prompts, chats, uploads, generated outputs, reports, or saved projects to train AI models or improve Tech Help Canada tools. If this changes, we will update our terms, privacy disclosures, or product notices as appropriate before applying a materially different practice.

We may change, limit, suspend, or discontinue AI models, prompts, features, capabilities, speeds, limits, outputs, or integrations at any time.

10. Website Health Reports and Site Analysis Tools

If you submit a website, domain, URL, page, or other target to a Tech Help Canada analysis tool, you confirm that you have the right to submit it and to receive an analysis of it.

Our reports are informational. They may contain errors, outdated findings, false positives, false negatives, incomplete scans, or recommendations that are not suitable for your specific site or business.

You are responsible for reviewing findings before making changes. You should not treat a report as a complete security audit, accessibility audit, legal compliance review, SEO guarantee, performance guarantee, or professional certification.

You must not use our tools to attack, overload, disrupt, scrape, probe, test, or scan systems in a way that is unauthorized, intrusive, unlawful, or harmful.

11. User Content, Prompts, Uploads, and Submitted Materials

“User Content” means content, prompts, files, text, images, URLs, documents, business information, listing information, comments, reviews, posts, messages, instructions, data, or other materials you submit, upload, generate, publish, or provide through our services.

You keep ownership of your User Content, subject to the license you grant us below and any rights held by others.

You grant Tech Help Canada a non-exclusive, worldwide, royalty-free license to host, store, copy, process, transmit, display, publish, modify, format, analyze, and use your User Content as needed to:

  • Provide, maintain, and secure the services you use.
  • Generate, save, display, and deliver outputs, reports, listings, posts, pages, files, or other requested results.
  • Operate accounts, memberships, directories, job boards, tools, support, billing, moderation, and security.
  • Enforce these Terms and protect against abuse, fraud, spam, security incidents, and unlawful activity.
  • Comply with law and valid legal processes.

Where your User Content is intended for public display, such as comments, public profiles, business directory listings, reviews, job posts, submitted articles, or other published materials, you also grant us the right to display, promote, edit, excerpt, format, distribute, and remove that content in connection with the relevant service.

You represent that your User Content:

  • Is accurate to the best of your knowledge where accuracy matters.
  • Does not violate law.
  • Does not infringe intellectual property, privacy, publicity, confidentiality, contractual, or other rights.
  • Does not contain malware, malicious code, deceptive claims, unlawful content, or abusive material.
  • Is not submitted in violation of any duty you owe to another person or organization.

We may remove, reject, edit, disable, or restrict User Content at any time, with or without notice, if we believe it violates these Terms, creates risk, is inaccurate, is inappropriate for the service, or may harm Tech Help Canada, users, or third parties.

12. Public Content, Comments, Reviews, and Community Areas

Some areas may allow public submissions, comments, reviews, profiles, discussions, business information, or other public content.

You are responsible for what you submit. Public content may be indexed by search engines, viewed by other users, copied by third parties, or remain visible after your account changes unless removed.

We may moderate public areas, but we are not obligated to monitor all content. We do not endorse user-submitted content.

You must not submit fake reviews, deceptive endorsements, undisclosed paid or promotional content, defamatory statements, harassment, spam, hate content, private information about others, or content that violates law or third-party rights.

13. Business Directory

The business directory may include free listings, claimed listings, paid listings, promoted listings, reviews, ratings, contact details, categories, descriptions, links, images, and other business information.

If you submit, claim, edit, promote, or pay for a listing, you confirm that:

  • You are authorized to act for the listed business.
  • The information you provide is accurate, lawful, and not misleading.
  • You will keep the listing current.
  • You have rights to any logos, images, text, links, or other materials you provide.
  • Your business, products, and services comply with applicable law.

We may accept, reject, edit, merge, categorize, suspend, remove, or refuse directory listings at our discretion. We may remove listings that are inaccurate, duplicative, suspicious, unlawful, low quality, harmful, abusive, or inconsistent with the directory’s purpose.

Paid placement, promotion, or publication services do not guarantee traffic, leads, rankings, sales, conversions, reviews, or business results.

We are not responsible for transactions, communications, disputes, claims, services, products, or relationships between directory users and listed businesses.

14. Job Board

The job board may include job posts, employer profiles, application links, external application pages, descriptions, compensation information, benefits, location details, and other employment-related content.

Employers and submitters are responsible for the accuracy, legality, and fairness of job postings. Job postings must comply with applicable employment, human rights, wage, privacy, anti-discrimination, immigration, and consumer protection laws.

We may review, reject, edit, remove, or expire job posts at our discretion. We do not guarantee applications, candidates, hires, employment, background checks, employer legitimacy, applicant legitimacy, compensation, or job availability.

Applicants are responsible for evaluating employers, opportunities, application links, communications, and requests for information. Do not send sensitive personal information, financial information, identity documents, or payments unless you have verified the recipient and are comfortable proceeding.

15. Publication Services, Editorial Services, and Submitted Materials

We may offer publication services, submitted content review, newsletter placements, directory promotion, editorial services, copywriting, and similar opportunities.

Unless we agree otherwise in writing:

  • We may accept, reject, edit, label, remove, update, or decline to publish any submitted material, placement, article, page, profile, listing, or link.
  • Payment does not guarantee publication, rankings, traffic, clicks, conversions, leads, sales, or any specific business result.
  • You are responsible for claims, disclosures, substantiation, rights, permissions, trademarks, images, testimonials, endorsements, and compliance with applicable laws and platform rules.
  • We may identify paid, partner, promotional, or submitted content using clear wording where we believe disclosure is appropriate or required.
  • We may remove or modify content if it becomes inaccurate, unlawful, risky, outdated, misleading, harmful, or inconsistent with our standards.

Submitted articles and editorial contributions must be original or properly licensed, accurate to the best of your knowledge, and free from undisclosed conflicts, manipulative practices, plagiarism, malware, deceptive claims, and unlawful content.

16. Consulting, Copywriting, SEO, AI, Website, and Other Services

We may provide professional services such as consulting, copywriting, SEO support, AI consulting, website assistance, content strategy, marketing support, audits, or related work.

The scope, fees, deliverables, timelines, assumptions, revision limits, and payment terms for services should be set out in the relevant proposal, invoice, statement of work, checkout page, email confirmation, or written agreement.

Unless expressly guaranteed in writing, we do not guarantee rankings, traffic, revenue, conversion rates, ad performance, platform approval, search engine treatment, AI model treatment, publication acceptance, or business outcomes.

You are responsible for providing timely information, access, feedback, approvals, and materials needed for the work.

17. Hosting, Domain, and Third-Party Platform Services

Some hosting, domain, website, email, payment, analytics, AI, marketing, or software services may be provided by third parties or through third-party platforms.

Those services may be subject to separate third-party terms, privacy policies, acceptable use policies, service levels, renewal rules, suspension rules, abuse rules, and payment terms.

We are not responsible for third-party services, outages, suspensions, price changes, policy changes, data loss, domain disputes, platform decisions, or provider actions except to the extent required by law or expressly agreed in writing.

18. Acceptable Use

You agree to use our services lawfully, responsibly, and only for their intended purposes.

You must not:

  • Violate laws, regulations, court orders, contractual duties, or third-party rights.
  • Infringe copyright, trademarks, trade secrets, privacy, publicity, confidentiality, or intellectual property rights.
  • Submit false, misleading, deceptive, defamatory, harmful, hateful, harassing, abusive, or unlawful content.
  • Upload malware, malicious code, spyware, scripts, or harmful files.
  • Attempt to gain unauthorized access to accounts, systems, data, APIs, infrastructure, or networks.
  • Probe, scan, penetration test, stress test, overload, disrupt, or attack systems without express written permission.
  • Scrape, crawl, harvest, copy, or extract data except as allowed by robots.txt, API terms, or written permission.
  • Reverse engineer, decompile, modify, resell, sublicense, or exploit our software, tools, models, prompts, workflows, or services except as allowed by law.
  • Bypass paywalls, usage limits, security controls, consent flows, rate limits, or access restrictions.
  • Use bots, automation, bulk requests, account creation scripts, or artificial traffic without permission.
  • Use our services for spam, phishing, scams, impersonation, fraud, credential harvesting, fake engagement, fake reviews, or deceptive marketing.
  • Use our services to generate, distribute, or facilitate unlawful, infringing, harmful, or abusive material.
  • Interfere with other users’ enjoyment of the services.
  • Misrepresent your identity, authority, affiliation, or endorsement.
  • Use our services in a way that creates legal, security, operational, reputational, or financial risk for Tech Help Canada.

19. Intellectual Property

Our services, websites, tools, software, designs, interfaces, content, articles, graphics, templates, prompts, workflows, logos, trademarks, trade names, service marks, reports, and other materials are owned by Tech Help Canada or our licensors unless stated otherwise.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use our services for their intended purpose, subject to these Terms.

You must not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, rent, sublicense, reverse engineer, or exploit our materials except as permitted by these Terms, by law, or by written permission.

You may link to public pages and share brief excerpts of public content with proper attribution, provided your use is lawful and does not imply endorsement.

20. Software, APIs, Integrations, and Downloads

If we provide software, scripts, APIs, downloadable files, integrations, reports, templates, or documentation, we grant you a limited license to use them for the purpose we provide them, subject to these Terms and any service-specific terms.

You must not:

  • Use APIs or integrations in a way that harms, overloads, or disrupts our services.
  • Share API keys or credentials without permission.
  • Remove notices, branding, or attribution where required.
  • Use downloads or reports as a substitute for professional review where professional review is needed.
  • Claim that our reports, outputs, or tools certify compliance unless we expressly say so in writing.

We may change, limit, suspend, or discontinue APIs, integrations, downloads, or software features at any time.

21. Third-Party Services, Links, and Content

Our services may link to, embed, rely on, or integrate with third-party websites, platforms, tools, videos, APIs, models, plugins, payment processors, hosting services, analytics services, job application pages, business websites, and other resources.

We do not control third-party services and are not responsible for their content, availability, practices, terms, privacy policies, security, accuracy, or performance.

Your use of third-party services is at your own risk and may be governed by separate terms.

22. Privacy

Our Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.

By using our services, you acknowledge that we process personal information as described in our Privacy Policy.

Marketing emails and other commercial electronic messages are handled in accordance with applicable anti-spam laws, including Canada’s Anti-Spam Legislation where it applies. You can unsubscribe from marketing messages using the unsubscribe link or instructions provided in those messages. Service, transactional, account, billing, security, and legal messages may still be sent where permitted.

23. No Professional Advice

Our content, tools, reports, recommendations, AI outputs, templates, checklists, and communications are for general informational and business-support purposes unless we expressly agree otherwise in writing.

They are not legal, financial, tax, medical, mental health, security, engineering, accounting, investment, employment, immigration, or other professional advice.

You should consult a qualified professional before making decisions that require professional judgment.

24. Disclaimers

To the maximum extent permitted by law, our services are provided “as is” and “as available.”

We do not guarantee that:

  • The services will be uninterrupted, secure, accurate, complete, current, or error-free.
  • Defects will be corrected.
  • Outputs, reports, rankings, recommendations, or results will meet your needs.
  • Any content, AI output, report, listing, job post, publication, link, or third-party material is accurate or reliable.
  • The services will be compatible with every browser, device, operating system, plugin, platform, or integration.
  • Using our services will produce any particular traffic, revenue, ranking, conversion, lead, hiring, compliance, or business outcome.

You use the services at your own risk.

Some jurisdictions do not allow certain disclaimers. In those places, the disclaimers apply only to the extent permitted by law.

25. Service Availability, Changes, and Beta Features

We may modify, update, suspend, discontinue, restrict, or replace any part of the services at any time.

Features may change. Tools may be removed. Models may be replaced. Limits may be adjusted. Reports may change. Integrations may stop working. Third-party services may become unavailable.

We may offer beta, experimental, preview, or early-access features. These may be unstable, incomplete, inaccurate, changed, or discontinued at any time.

We are not liable for service interruptions, maintenance, outages, data loss, feature changes, discontinued tools, third-party failures, or events beyond our reasonable control except to the extent required by law or expressly agreed in writing.

26. Suspension and Termination

You may stop using our services at any time. You may request account deletion by contacting us or using account controls where available.

We may suspend, restrict, or terminate your access to any service if:

  • You violate these Terms.
  • Payment is overdue or fails.
  • Your use creates risk or potential harm.
  • We suspect fraud, abuse, unlawful activity, security issues, or unauthorized access.
  • We are required to do so by law, platform rule, provider requirement, or valid legal process.
  • We discontinue a service.

Termination does not relieve you of amounts owed or obligations that should reasonably survive termination, including payment obligations, intellectual property terms, disclaimers, limits of liability, indemnity, dispute terms, and restrictions on misuse.

27. Limitation of Liability

To the maximum extent permitted by law, Tech Help Canada Limited and its directors, officers, employees, contractors, suppliers, licensors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or similar damages, including lost profits, lost revenue, lost business, lost data, lost goodwill, service interruption, reputational harm, or cost of substitute services.

To the maximum extent permitted by law, our total liability for any claim related to the services or these Terms is limited to the greater of:

  • The amount you paid to Tech Help Canada for the specific service giving rise to the claim in the 12 months before the event giving rise to liability; or
  • CAD $100.

These limits apply regardless of the legal theory, even if we were advised that damages were possible.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

28. Indemnity

To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Tech Help Canada Limited and its directors, officers, employees, contractors, suppliers, licensors, affiliates, and agents from claims, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising from or related to:

  • Your use of the services.
  • Your User Content.
  • Your violation of these Terms.
  • Your violation of law.
  • Your violation of third-party rights.
  • Your products, services, listings, job posts, publications, submitted articles, claims, or business activities.
  • Your misuse of AI output, reports, recommendations, or tools.
  • Activity under your account.

We may control the defense of any matter subject to indemnity, and you agree to cooperate with us.

29. Consumer Rights and Mandatory Local Rights

Nothing in these Terms limits rights you may have under consumer protection, privacy, e-commerce, distance selling, digital content, unfair practices, cancellation, withdrawal, refund, or other mandatory laws that cannot be waived by contract.

If you are a consumer in a jurisdiction with mandatory local rights, those rights apply despite anything inconsistent in these Terms.

Where required, we will provide cancellation, withdrawal, refund, disclosure, or other rights in accordance with applicable law.

30. Changes to These Terms

We may update these Terms from time to time.

The “Effective date” shows when the current version took effect. If we make material changes, we will provide notice in a reasonable way, such as by posting an updated version, emailing account holders, showing an in-product notice, or requiring renewed acceptance.

Your continued use of the services after updated Terms take effect means you accept the updated Terms. If you do not agree, you must stop using the services and cancel any affected subscription where applicable.

31. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer our rights and obligations under these Terms as part of a merger, acquisition, restructuring, sale of assets, change of control, corporate transaction, or operation of law, provided this does not reduce your mandatory consumer rights.

32. Severability

If any part of these Terms is found invalid, unlawful, or unenforceable, that part will be interpreted or modified to the minimum extent necessary to make it enforceable. If that is not possible, the part will be severed, and the remaining Terms will continue in effect.

33. No Waiver

Our failure to enforce a provision of these Terms is not a waiver of our right to enforce it later.

34. Governing Law and Disputes

These Terms are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario, without regard to conflict-of-law rules.

Subject to any mandatory rights you may have as a consumer, the courts located in Ottawa, Ontario, Canada will have exclusive jurisdiction over disputes arising from or related to these Terms or the services.

Before starting a formal claim, you agree to contact us at info@techhelp.ca and give us a reasonable opportunity to try to resolve the issue informally. We will do the same where practical.
